Effective Date: 1 July 2025

1. Introduction

This End User License Agreement (“EULA”) constitutes a legally binding agreement between you (the “User”) and Trader365 Ltd (“Trader365®”, “we”, “us”). By installing, accessing, or using the Trader365® mobile application, website, or related services (collectively, the “App”), you confirm that you have read, understood, and agree to be bound by this EULA, our Terms of Service, Privacy Policy, Community Guidelines, and any additional terms applicable to specific features.

2. Grant of License

Subject to this EULA, Trader365® grants you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the App solely for lawful, personal, and non-commercial purposes. All rights not expressly granted remain reserved by Trader365.

3. Ownership and Intellectual Property Rights

Trader365® and its licensors own all intellectual property rights in the App, including but not limited to content, software, logos, trade names, trademarks, design, text, graphics, interfaces, and functionality. You agree not to reproduce, copy, modify, distribute, display, publish, license, or create derivative works without Trader365®’s prior written consent.

4. User Obligations

You agree to:

• Provide true, current, and complete registration information.

   

• Keep your account credentials secure and confidential.

   

• Promptly update any information to maintain its accuracy.

   

• Use the App only for lawful purposes and in compliance with applicable laws.

   

• Immediately notify Trader365® of any unauthorised use of your account or security breach.

   

• Maintain responsibility for all activities that occur under your account.

   

5. Prohibited Uses

You shall not:

• Decompile, reverse engineer, disassemble, or attempt to derive the source code of the App.

   

• Rent, lease, lend, sell, sublicense, assign, or transfer rights to the App.

   

• Circumvent any security features of the App.

   

• Use the App to violate any applicable law or regulation.

   

• Transmit any viruses, malware, spyware, or other harmful code.

   

• Harvest or collect information about other users without consent.

   

• Engage in any conduct that restricts or inhibits any other user from using the App.

   

6. Updates, Maintenance, and Support

Trader365® may deploy patches, updates, or upgrades to the App, which you agree to install to ensure continued functionality. Trader365® is not obligated to provide maintenance, technical, or other support for the App except as required by law.

7. Term and Termination

This EULA remains in effect until terminated. Trader365® may suspend or terminate your access immediately if you breach any provision of this EULA, our Terms of Service, or applicable laws. Upon termination, all licenses granted will terminate and you must uninstall all copies of the App.

8. User Content

Where the App allows you to submit, post, or share content (“User Content”), you grant Trader365® a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such User Content solely for operating and improving the App. You represent that you have all necessary rights to grant this license and that your User Content does not infringe any third-party rights.

9. Data Privacy

Use of the App is subject to our Privacy Policy, which explains how we collect, process, store, and share your personal data. By using the App, you consent to such processing.

10. Disclaimers

The App is provided “as is” and “as available.” Trader365® makes no representations or warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. No advice or information obtained through the App shall create any warranty not expressly stated herein.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Trader365® shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of data, profits, or goodwill, arising out of or related to your use or inability to use the App. Trader365®’s total liability shall not exceed the amount paid by you, if any, for using the App during the twelve (12) months prior to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Trader365®, its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising from or related to your violation of this EULA or misuse of the App.

13. Compliance with Laws

You are solely responsible for complying with all applicable local, state, national, and international laws and regulations when using the App.

14. Export Control

You acknowledge that the App may be subject to export control laws and agree not to export, re-export, or transfer the App in violation of any applicable export laws or regulations.

15. Entire Agreement and Severability

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Trader365®. If any provision is deemed invalid or unenforceable, the remaining provisions will remain in full force and effect.

16. Governing Law and Jurisdiction

This EULA shall be governed by and construed in accordance with the laws of England and Wales. You consent to the exclusive jurisdiction of the courts of England and Wales to resolve any disputes.

17. Amendments

Trader365® may modify this EULA at any time. Updated versions will be posted within the App and on our website. Continued use of the App after such changes constitutes your acceptance of the revised EULA.

18. Assignment

You may not assign or transfer this EULA or any rights herein without Trader365®’s prior written consent. Trader365 may assign this EULA without restriction.
