1. ENGAGEMENT AND SCOPE OF SERVICES

1.1 Independent Contractor Status

The Contractor is engaged as an independent contractor to provide content creation services for the Trader365® mobile application and related platforms. This agreement does not create an employment relationship, partnership, or joint venture.

1.2 Services

The Contractor agrees to provide the following services as part of the Core Team:

• Creation of educational trading content
• Market analysis and commentary
• Video tutorials and written guides
• Social media content related to trading education
• Other content as mutually agreed upon

1.3 Performance Standards

All content must meet Trader365®’s quality standards, brand guidelines, and compliance requirements as specified in the Content Guidelines document provided separately.

2. TERM AND TERMINATION

2.1 Term

This agreement commences on [START DATE] and continues until terminated by either party in accordance with this agreement.

2.2 Termination

Either party may terminate this agreement with 30 days’ written notice. The Company may terminate immediately for breach of contract, misconduct, or failure to meet performance standards.

2.3 Effect of Termination

Upon termination, the Contractor must immediately cease all work, return company materials, and comply with ongoing confidentiality obligations.

3. INTELLECTUAL PROPERTY

4.1 Ownership

All content created under this agreement, including but not limited to written materials, videos, graphics, and concepts, shall be the exclusive property of Trader365® Limited.

4.2 Work for Hire

To the extent permitted by law, all work product constitutes “work made for hire” under applicable copyright law.

4.3 Moral Rights

The Contractor waives any moral rights in the work product to the fullest extent permitted by law.

4. CONFIDENTIALITY AND NON-DISCLOSURE

5.1 Confidential Information

The Contractor acknowledges access to confidential information including:

• User data and analytics
• Business strategies and plans
• Financial information
• Technical specifications
• Marketing strategies
• Any information marked as confidential

5.2 Non-Disclosure Obligations

The Contractor agrees to:

• Maintain strict confidentiality of all proprietary information
• Not disclose confidential information to third parties without written consent
• Not use confidential information for personal benefit
• Implement reasonable security measures to protect confidential information

5.3 Privacy Protection

The Contractor specifically agrees:

• Never to share user personal data or trading information outside the Core Team
• Not to discuss individual user accounts or trading performance
• To immediately report any data breaches or security concerns
• To comply with GDPR, CCPA, and other applicable privacy regulations

5.4 Survival

Confidentiality obligations survive termination of this agreement indefinitely.

5. ADVERTISING AND PROMOTION RESTRICTIONS

6.1 Permitted Advertising

The Contractor may advertise their services through:

• An internal link within the Trader365® app as approved by Company management
• Professional profiles stating their role with Trader365®
• General references to their content creation work

6.2 Prohibited Activities

The Contractor may not:

• Advertise or sell any products through the Trader365® platform
• Promote competing trading platforms or services
• Use Trader365®’s user base for direct marketing
• Engage in affiliate marketing within the app
• Sell trading signals, courses, or products to Trader365® users

6.3 Brand Guidelines

All permitted advertising must comply with Trader365®’s brand guidelines and require prior written approval.

6. COMPLIANCE AND REGULATORY REQUIREMENTS

7.1 Financial Services Compliance

The Contractor must comply with all applicable financial services regulations, including FCA rules in the UK and equivalent regulations in other jurisdictions.

7.2 Content Compliance

All content must include appropriate risk warnings and disclaimers as required by law and Company policy.

7.3 Professional Standards

The Contractor must maintain professional standards and not engage in conduct that could harm Trader365®’s reputation.

7. LIMITATION OF LIABILITY

7.1 Mutual Limitation

Neither party shall be liable for indirect, incidental, special, or consequential damages arising from this agreement.

7.2 Cap on Liability

Each party’s total liability shall not exceed any damages that can be reasonably proven to have resulted from breach of this agreement.

8. INDEMNIFICATION

8.1 Contractor Indemnification

The Contractor agrees to indemnify and hold harmless the Company from claims arising from:

• Breach of this agreement
• Negligent or willful misconduct
• Violation of third-party rights
• Non-compliance with applicable laws

9. DISPUTE RESOLUTION

10.1 Governing Law

This agreement is governed by the laws of England and Wales.

10.2 Jurisdiction

The parties submit to the exclusive jurisdiction of the courts of England and Wales.

10.3 Alternative Dispute Resolution

The parties agree to attempt mediation before pursuing litigation.

10. GENERAL PROVISIONS

11.1 Entire Agreement

This agreement constitutes the entire agreement between the parties and supersedes all prior agreements.

11.2 Amendment

This agreement may only be amended in writing signed by both parties.

11.3 Severability

If any provision is unenforceable, the remainder of the agreement remains in effect.

11.4 Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond their reasonable control.

11.5 Assignment

This agreement may not be assigned without written consent, except the Company may assign to affiliates.

11. EXECUTION
